Terms and conditions – Construction Startup Competition 2019

1      Background

1.1 CEMEX S.A.B. de C.V., (from now on “CEMEX”), in the relentless effort of building a stronger and more successful enterprise, wants to reaffirm its position as one of the most innovative global companies in the construction industry. In this regard, CEMEX sees immense potential in driving disruptive change into the construction ecosystem and thereby develop new revenue sources. For this purpose, CEMEX Ventures España S.L.U, (from now on “CEMEX Ventures”) was launched as an independent, diverse and inclusive organization, which will be on the leading-edge of innovation, leveraging CEMEX’s knowledge of the business, its technology and its platforms to lead the next wave of evolution in the construction industry.

1.2 CEMEX Ventures will engage through physical and virtual networks with a wide range of players, including entrepreneurs, industry leaders and academia, allowing CEMEX Ventures to develop innovative solutions for customers along the entire construction value chain.

 

2      Competition objective

2.1 The objective of the Construction Startup Competition 2019, (from now on “the Competition“), is to invite global entrepreneurs that are willing to disrupt the construction industry, and that are interested in accelerating their projects development, leveraging CEMEX Ventures resources and industry knowledge. CEMEX Ventures will accept any startup, meaning any newly innovative project that aims to develop a viable business model to meet a marketplace need or problem (hereinafter the “Startup” or the “Startups”), to participate from the Competition, if the Startup is focused in one or more areas within the CEMEX Ventures six areas of opportunity, as detailed in Section 6, regardless of their level of maturity. Another objective of the Construction Startup Competition is to build and maintain fluid and close relationship between CEMEX Ventures and the Startups and keep them updated on similar events or relevant news from the construction industry.

2.2 CEMEX Ventures team will select the Startups that they consider have the most potential, with the ultimate purpose of investing in the most promising ones. The Startups’ growth potential, business model consistency and escalation feasibility are key areas that will be assessed for each Startup throughout the selection process, together with other criteria that the Competition panel of experts may find to be relevant.

 

3      Participants’ eligibility

3.1  The Competition is opened to any person of 18 years of age or older at the time of entry, or to any legal entity (the “Participants”). Participants may submit a Startup individually, or as a team. Employees of CEMEX, and their respective, divisions, affiliates, are not eligible. To be eligible as a potential Winner (as defined hereto), Participants must meet all the eligibility requirements at the time it is awarded, and they may be required to provide CEMEX Ventures with proof that he or she meets the eligibility requirements for this Competition.

 

4      Competition registration

4.1  Participants will need to register for free at the Competition website, (from now on the “Competition Site“). To join the Competition, Participants can find the Competition Site by accessing directly https://cemexventures.com/form-construction-startup-competition-2019, or by clicking at the “Apply” button at the “Competition” event details section of the CEMEX Ventures website. To register with the Competition, you will be required to accept these Terms, and the CEMEX Ventures Privacy Policy to confirm that you agree with them and that you have read and understood both, the Terms and the CEMEX Ventures Privacy Policy, including in relation to your eligibility and understanding that you are entering into a binding legal agreement. If you do not agree to these Terms or to the CEMEX Ventures Privacy Policy, you will not be eligible for participating in the Competition.

 

5      Project submission

5.1  All Competition Participants must submit the Startup’s information by typing it directly into the Startup’s submission form that will be available at the Competition Site and clicking the “Submit” button. The Startup’s submission form will enable the Participants to explain their Startup in detail, answering to specific questions as outlined in Section 6 hereinafter. Participants will be able to upload any additional files they may find useful for the Competition’s panel of experts to have. Submissions received after the Competition submission deadline will be considered invalid and will not be processed or entered into the Competition. CEMEX Ventures does not accept responsibility for any submissions which are lost, delayed, incomplete or otherwise not received, are corrupted or cannot be entered for technical or any other reason.

5.2  Incomplete or illegible submissions, or those not in accordance with the Terms, are invalid. CEMEX Ventures has no obligation to inform you of any invalid entries. Proof of transmission or electronic delivery will not be deemed to be proof of entry. CEMEX Ventures is not responsible for, and will not assist in resolving, any disputes between team members. Each submission must be original of the Participants’ and teams’ own creation. The Startups may be subject to a due diligence review at any time for eligibility and compliance with the Terms. Determination of eligibility and compliance is at the sole discretion of CEMEX Ventures. CEMEX Ventures reserves the right to disqualify any Startup if it does not comply with the Terms.

5.3  By participating, you certify that your Startup is original and that you are the sole and exclusive owner and rights holder of the Startup and that you have the right to submit it in the Competition. You agree not to submit any Startup including any information that (1) infringes any third-party proprietary, intellectual property, industrial property, personal rights or other rights, including without limitation, copyright, trademark, patent, trade secret or confidentiality obligations; (2) otherwise violates applicable law; or (3) is subject of any actual or threatened litigation or claim. You are responsible for any violations resulting in your unauthorized use of a third party’s intellectual property, and for complying with applicable laws. All code and materials you submit with your Startup in the Competition must:

  1. belong to yourself;
  2. not be false, inaccurate or misleading;
  3. not be in breach of any applicable laws, regulations, licenses, or third-party rights;
  4. not be harmful, threatening, defamatory, infringing, harassing or racially or ethnically offensive;
  5. not facilitate illegal activity or depict sexually explicit images;
  6. not promote violence or be discriminatory based on race, gender, color, religious belief, sexual orientation and/or disability; and
  7. not cause damage or injury to any person or property.

 

6      Startup proposal and key questions to address

6.1  The Participants will have to submit innovative Startups related to the construction industry, that solve some of the main pain points of the actors involved along the construction value chain, and that focus on the six following opportunity areas (“CEMEX Ventures Focus Areas”):

  • Smart cities and buildings: Build the metropolises of the future by promoting smart cities and buildings with the best resource efficiency. Offer solutions based on crowd-powered & resilient cities, new energy sources, a suitable asset management and assure a proper demolition.
  • Project design & engineering: Optimize the construction project design and specification process with innovative solutions for the design, engineering and planning. Provide the industry with suitable techniques and tools to maximize a construction project’s efficiency and quality.
  • Supply chain management: Help the key actors of the industry to obtain suitable goods and services at the right place and time they need. Drive the construction industry by optimizing resource sourcing, fleet tracking and inventory management.
  • Project & jobsite management: Improve productivity, efficiency and the quality of the construction work through a connected & monitored jobsite. Boost labor optimization, develop responsive construction schedules and enhance working capital cycle improvement.
  • Innovative building materials & construction methods: Build with the materials and methods of the future. Upgrade the way the industry works with smart materials, innovative construction methods and new technologies that empower cheaper, faster and better performing developments.
  • Investment & financing: Offer solutions to ensure capital needs from large developments to self-builders. Scale new financial sources, optimize loan & credit management and foster new transparency standards in the construction ecosystem.

6.3  In order to submit a Startup, Participants will be asked to fill in a Startup application form, aimed to collect all the relevant information that the Competition’s panel of experts will need to assess the Startup’s potential, with the following fields:

1) Name: First name of main contact person.

2) Last name: Last name of main contact person.

3) Startup name: Introduce the complete Startup name.

4) E-mail: email address of the contact person.

5) Website: Write down the Startup website URL.

6) Link to video pitch: Link to video pitch.

7) Country: Select a country.

8) Number of teammates: Select the number of teammates.

9) Founding year: Select a year.

10) Startup Description: Introduce a brief description of your Startup.

11) Which Customer need does your Startup solve? Describe what is the need that your Startup solves.

12) Differentiation: Describe what differentiates your Startup from others.

13) Startup Development Level: Select the development level of the Startup.

14) Funding raised to date: Declare the amount (if applicable).

15) Expected funding for the next round. Declare the amounts you expect to receive.

16) Participation in other programs: Introduce the name of other programs in which the Startup participates.

17) Awards: Introduce the name and year of awards received by the Startup.

18) Do you want to add more information about your Startup? Possibility to add any additional document/file that could help to better explain your Startup.

19) What do you expect from CEMEX Ventures? Checkbox menu where you can pick among the following bullets: Funding, support from CEMEX’s network (industry experts, clients, etc.), Technological support, Incubation, Acceleration, Coworking space, Other.

20) How did you know about us? Checkbox menu where you can pick among the following bullets: Social media, Newspaper or specialized magazines, Other incubator/Accelerator, Direct mail piece, I know CEMEX Ventures before this competition, Other.

 

7      The Competition process

7.1   The Competition has been organized in three main process stages, through which all the Startups will be received, screened, and potentially selected to the pitch day:

  • Startup Submission Stage: Participants will have 40 days from the Opening Day to submit their Startups into the Competition Site, comprised within the dates:
  1. Submission Stage opening day: 19th of February 2019, at the 00:00h (UTC/GMT +1). (“Opening Day”).
  2. Submission Stage closing day: 21th of April of 2019, at the 23:59h (UTC/GMT +1). (“Closing day”).
  • Screening and Selection Stage: Once the Startup submission stage is closed, all submitted Startups will be reviewed by CEMEX Ventures team, with the ultimate objective of selecting the most promising Startups (from now on the “Winners”), which will jump into the last stage. The screening and selection process of the received Startup will take 26 days, starting from the Submission Stage Closing Day (the “Selection Stage”). At the end of this stage the selected Winners (up to ten) will be awarded with the Participation in the Pitchday.
  • Pitchday: Once the Winners are selected they will be asked to participate in the Pitchday event on 18th of July of 2019 in Monterrey (Mexico).
  • Lodging and transportation costs incurred to attend the Pitchday event in Monterrey will be at CEMEX Ventures expenses.
  • The Winners will have the possibility to show their Startups to an audience composed by some members of the CEMEX Ventures team and other relevant people from the construction and venture capital industries including top management people, entrepreneurs, investors, etc.

At the sole discretion of CEMEX Ventures, after the Pitchday, Winners will also have the possibility to connect with CEMEX’s network, R&D and marketing team.

  • At the Competition Pitchday, each Winner will be represented by one member of the team. The Pitchday will take place at the end of the 1st semester of 2019 or beginning of the 2nd semester of 2019.

8       Startup property rights

8.1   The sole act of participating from the Competition does not imply that Participants will lose rights on the Startup ownerships; neither will they give away the Startup ownership rights to CEMEX Ventures.

 

9      Applicable Law and Jurisdiction

9.1   These Terms shall be governed by Spanish law. Participants hereto submit to the exclusive jurisdiction of the Courts of the city of Madrid, expressly waiving any other law and venue to which they may be entitled by reason of their present or future domicile or by any other cause.
